Brainbees Solutions Limited, the parent company of omni-channel baby and kids retailer FirstCry, has announced a strategic acquisition aimed at strengthening its position in India’s growing hygiene and disposable products market.
Through its wholly owned subsidiary, Swara Baby Products Private Limited, Brainbees will acquire 100% equity in K.A. Enterprises (Hygiene) Private Limited (KA Hygiene). The transaction will be executed through a share-swap arrangement, valuing KA Hygiene at ₹57.74 crore, with no cash consideration involved.
Under the terms of the deal, Swara Baby will issue 3,849,572 equity shares to the existing shareholders of KA Hygiene. Following the share issuance, Brainbees’ ownership in Swara Baby will decrease from 87.29% to 75.92%, while KA Hygiene will become a wholly owned subsidiary of Swara Baby and a step-down subsidiary of Brainbees Solutions.
Founded in 2019, KA Hygiene is engaged in the manufacturing and trading of hygiene products. The company recently consolidated its operations by absorbing the business activities of a related entity operating in the same segment.
On a consolidated basis, KA Hygiene reported revenue of ₹84.01 crore in FY25, up from ₹80.42 crore in FY24 and ₹58.45 crore in FY23. The hygiene business recorded a profit after tax of ₹5.22 crore in FY25, highlighting consistent growth over recent years.
According to regulatory filings, the acquisition qualifies as an arm’s length transaction, with no additional promoter group interests beyond existing shareholdings and common directorships. The transaction does not require specific regulatory approvals and is expected to be completed on or before December 31, 2025, subject to customary closing conditions.
Brainbees stated that the acquisition aligns with its strategy to expand its hygiene and disposable products portfolio, complementing FirstCry’s core focus on products for mothers, babies, and children. The move reflects the company’s broader ambition to scale its presence in high-growth consumer hygiene categories.
In parallel with its domestic expansion, Swara Baby is also building an international footprint. The company has incorporated Swara Corp in the United States to trade diapers and disposable consumer hygiene products overseas, signaling a long-term global growth strategy.
The acquisition of KA Hygiene marks another step in Brainbees’ efforts to strengthen its manufacturing capabilities and consolidate its position in the evolving hygiene and nonwoven-based disposable products market.
